J. Mark Ingram manages Widerman Malek’s corporate department as its Director of Corporate Law. Ingram has a diverse legal background handling various corporate transactions and commercial litigation. Recent transactions Ingram has handled include:

– Negotiation and closing of multi-million dollar acquisition of software company serving the fuel industry;
– Negotiation and closing of multi-million dollar loan refinancing for government contractor in aerospace industry;
– Preparation of legal opinion letter and internal corporate restructuring in support of aerospace contractor loan refinancing ;
– Negotiation and closing of distribution and licensing agreement for flagship product line of smart audio hardware and software developer;
– Preparation of opinion letter in support of multi-million dollar loan financing of transportation management software company;
– Structuring and launch of new telecommunications contractor in preparation for application for federal security clearance;
– Prepare sales terms and policy documents for developer of unmanned nautical vessels;
– Prepare software licensing agreement for aerospace software developer;
– Negotiate and close the corporate buyout of minority shares from dissenting shareholders in aerospace engineering company; and
– Formation and structuring of several new start-up tech and engineering companies.

Ingram regularly counsels clients in corporate structuring and succession planning, and negotiates corporate transactions involving the formation of entities and the purchase and sale of corporate assets. Ingram has also appeared and litigated numerous commercial cases involving a variety of matters including: federal trademark and patent litigation, commercial contract disputes, construction defects and mechanic’s liens, corporate acquisition and operations disputes, residential foreclosure defense, landlord/tenant disputes, and a variety of other civil matters. Beyond the trial level, Ingram has appealed several cases and defended appeals made to the Fifth District Court of Appeal, including construction cases, residential foreclosure cases, and real estate property disputes. Through his experience, Ingram is able to assist companies and individuals in a variety of industries who seek general corporate advice, or who have specific commercial dispute matters.

Ingram has a unique background in entertainment law, particularly in the music industry. A musician himself, Ingram has worked in-house as legal counsel and general manager for Acoustic Soul Group, a niche music licensing, production, and administration company. Having earned a Master’s Degree in Music Business and Entertainment Industries, Ingram utilizes his experience and knowledge in the music business and counsels independent musicians, writers, and entertainment companies. He also provides intellectual property counsel and registration services to companies and individuals seeking assistance in evaluating and registering their trademarks and copyrights.
